Client Service Agreement

This agreement is between SyntriqIQ LLC, doing business as What The Foxtrot (“Provider”, “we”), Suwanee, Georgia, and the business named in the signature block below (“Client”, “you”). It takes effect on the date you sign it. The package you selected above is the Service.

1.What we deliver

The deliverables for each product and plan are exactly as listed in the specification lists and plan cards above on this page, which form part of this agreement. In short: a Social Promo is 15 to 30 seconds, 1 to 3 scenes, with AI voiceover and captions, delivered in HD; a Signature Commercial is 30 to 45 seconds, 5 to 8 scenes, scripted, with voiceover and motion graphics, delivered in Full HD 1080p with a :15 cutdown; a Brand Film is 60 to 120 seconds, up to 12 scenes, scripted, with voiceover and custom sound design, delivered as a 4K master plus 1080p with :30 and :15 cutdowns. Station-specific broadcast delivery specs are quoted separately. Everything is produced with generative AI tools and delivered as MP4 files through a private Google Drive link to the email in the signature block. We produce and deliver; posting to your accounts and running your ads is your responsibility unless we agree otherwise in writing.

Every video is delivered in all three formats — vertical (9:16), square (1:1) and widescreen (16:9) — at no extra charge. In your brief, tell us which format you will use most; we build for that one first and adapt the other two from it. Cutdowns are delivered in the same three formats.

For Signature Commercials and Brand Films, the script is written and approved before production starts. One rewrite is included. A change to the approved script after production starts is a new video and priced as one.

Optional add-ons. Your own voice, $97 one time (Social Promo and Monthly Social; already included with Signature Commercial, Monthly Ad Creative and Brand Film) — you record a short sample, we create a voice clone and use it only for your videos under this agreement; you confirm the voice is yours. Custom jingle, $150 one time — a short branded music sting; two options and one revision, then yours to use in all your videos. Generative music is generally not eligible for copyright, so we cannot promise exclusivity. Add-ons are invoiced with your first payment. Your likeness (your face in the video) is quoted separately per project.

2.Term

Monthly plans run for a minimum of three (3) consecutive service months starting on the day your first invoice is paid, then continue month to month until either party cancels under Section 9. Your monthly price is locked for as long as your plan stays active without a break. One-time projects (Social Promo, Signature Commercial, Brand Film) end on delivery of the final files.

3.Payment

  • After you sign, we email an invoice (Stripe). Monthly plans: the first month is due before work begins, and your service month starts the day it is paid. Each following month is charged automatically on the same date to the payment method you used, and you’ll receive a reminder email seven (7) days before each charge.
  • A one-time Social Promo is paid in full before work begins.
  • A Signature Commercial or Brand Film is 50% to start and 50% before delivery of the final files. The final files are released when the second half is paid.
  • We accept card, ACH and bank transfer through the invoice. No card surcharge.
  • If your first invoice is unpaid five (5) days after its due date, we may void this agreement and release your production slot.
  • If any later invoice is unpaid seven (7) days after its due date, work pauses and delivery dates move. If it is unpaid fourteen (14) days after its due date, we may end this agreement and any months remaining in your minimum term become due.

4.How each month works

  • Monthly Ad Creative: we send a content plan for the coming month and hold a 20-minute strategy call at a time you choose. You approve the plan or send changes within three (3) business days. If we hear nothing, the plan is approved. We then write each script; once you approve a script, that commercial is delivered within 7 to 10 business days.
  • Monthly Social: you send us the offer or topic for each video (a short brief). We write the words, voice it and deliver within 5 business days of each brief. Slow replies delay delivery, not the billing date.
  • Videos are allocated to the month they are billed in. Unused videos do not roll over unless the delay was ours.
  • One-time projects: a Social Promo is delivered within 3 to 5 business days of your brief; a Signature Commercial within 7 to 10 business days of script approval; a Brand Film within 2 to 3 weeks of script approval.

5.Revisions and approval

A Social Promo includes one (1) round of revisions; a Signature Commercial and a Brand Film each include two (2). On monthly plans, each Monthly Social video includes one (1) round and each Monthly Ad Creative video includes two (2). Revision notes are submitted through whatthefoxtrot.com/changes.html; each submission is one round. Send them within five (5) days of delivery; after five days with no notes, the video is approved. A revision round means one consolidated list of changes. Anything you mark “keep as-is” on that page is protected wherever possible; if a change forces a small adjustment nearby to keep the video in time, we make it and tell you, unless you asked to be consulted first. Additional rounds are $97 per video per round. A revision is an adjustment to the video we made; a new concept, a new script, or a change to your brand or offer after production starts is a new video.

6.Ownership and use

  • When a video is paid for in full, we assign to you all rights we hold in that final delivered video. It is yours to use as long as you like: post it, run it as an ad, edit it, keep running it after your plan ends.
  • We keep our project files, prompts, unused generations, drafts and methods. Those are not deliverables.
  • We may show finished work in our portfolio, website and social accounts, and name you as a client, unless you tell us in writing not to.
  • You are responsible for anything you give us to use (logos, photos, footage, music, product claims, offers, prices) and for making sure your ads comply with the rules of your industry and each platform.

7.AI production, no performance guarantee

Our videos are produced with generative AI tools. Faces, voices, locations and products are synthetic unless you supply real assets. We do not use your customers’, employees’ or any real person’s likeness or voice without written permission from that person. If you add your own voice or likeness, you confirm it is yours and authorize us to reproduce it for your videos only. We produce good work and follow your brief; we do not guarantee views, leads, sales or platform approval, and we do not run your ad accounts. Ad spend is not included in any price.

8.Confidentiality

Anything you share with us about your business that is not public stays private and is used only to make your videos. The same applies to our pricing, process and unreleased work.

9.Cancellation

  • After the three-month minimum, either party may cancel with fourteen (14) days’ written notice by email (Client to hello@whatthefoxtrot.com; Provider to the email in the signature block). You receive everything paid for through the end of the notice period.
  • Cancelling inside the minimum term: the remaining months of the minimum are due, and we deliver the videos for those months.
  • If either party materially breaks this agreement and does not fix it within ten (10) days of written notice, the other party may end it immediately.
  • One-time projects: if you cancel after work starts, the payment or deposit is kept and any finished drafts are delivered as-is.
  • One-time projects without a brief: if we have not received your creative brief within thirty (30) days of your payment, we may close the project. Your payment or deposit is non-refundable and is retained to cover the administrative cost of setting up your project, including invoicing, scheduling, and follow-up.
  • Walk-away right. Signature Commercial and Brand Film: one script rewrite is included; if you do not approve the second draft, you may walk away and the deposit is refunded less $397 for concept and script. Once the script is approved this right ends. Monthly plans: you may end the plan after the first round of revisions on your first video by confirming it on whatthefoxtrot.com/changes.html (or by email to hello@whatthefoxtrot.com) within the five-day revision window. That video is charged at its one-time price ($397 on Monthly Social, $1,297 on Monthly Ad Creative), anything paid above that is refunded, the rest of the minimum term is waived, the first video is delivered as-is and no further videos are produced. Social Promo: paid in full, delivered with one revision round; there is no walk-away stage. Submitting a round of changes instead of walking away closes this right.

10.Limits

Our total liability under this agreement is capped at the amount you paid us in the three months before the claim. Neither party is liable for indirect or lost-profit damages. Neither party is responsible for delays caused by things outside its control (platform outages, tool outages, acts of God).

11.The legal bits

Georgia law governs this agreement; disputes go to the state or federal courts in Gwinnett County, Georgia. This page is the whole agreement and replaces earlier quotes or conversations; changes must be in writing (email counts). If one clause is unenforceable, the rest stand. Neither party is the other’s employee, partner or agent. Electronic signatures on this page are binding under the U.S. E-SIGN Act and Georgia’s Uniform Electronic Transactions Act.
